Terms and Conditions

Welcome to Socrat! These terms and conditions (“Terms”) apply to the use of the Socrat software-as-a-service (“SAAS”) product, including any updates, modifications, or additions provided to you by us, Pedagogy Ventures LLC (“Pedagogy Ventures”), a New York limited liability company with a mailing address at 120 Rt. 9W PMB 34 Haverstraw, NY 10927. These Terms constitute a legally binding agreement between you (“User”) and Pedagogy Ventures.
Use of Socrat
Subject to the terms and conditions of these Terms, Pedagogy Ventures grants User a non-exclusive, non-transferable, limited license to access and use Socrat for educational purposes only. User may not use Socrat for commercial purposes.
User Account
To use Socrat, User must create an account by providing accurate and complete registration information. User is responsible for maintaining the confidentiality of their account login information and for all activities that occur under their account.
Fees and Payment
Socrat is available to schools for a fee. User agrees to pay all fees associated with User’s use of Socrat in accordance with the payment terms provided by Pedagogy Ventures. Pedagogy Ventures reserves the right to modify its fees at any time upon reasonable notice.
Ownership and Intellectual Property
Socrat and all intellectual property rights associated with it, including all software, content, and trademarks, are the property of Pedagogy Ventures or its licensors. User agrees not to reproduce, modify, distribute, or create derivative works of Socrat or its content without Pedagogy Ventures’ prior written consent.
Privacy and Security
Pedagogy Ventures takes the privacy and security of User’s data seriously, particularly in the case of minors and students under 13 years of age. User acknowledges and agrees that Pedagogy Ventures may collect and use data generated by User’s use of Socrat, as described in Pedagogy Ventures’ Privacy Policy. Pedagogy Ventures will not knowingly collect personal information from children under 13 without prior parental consent. Pedagogy Ventures will also implement reasonable measures to ensure that any processing of personal information of minors and students under 13 is done in compliance with applicable laws and regulations, including the Children’s Online Privacy Protection Act (COPPA). Parents or legal guardians of children under 13 should review Pedagogy Ventures’ Privacy Policy carefully before allowing their children to use Socrat. User is responsible for complying with any applicable laws or regulations related to the collection, use, or disclosure of personal information of minors and students under 13.
Socrat is not responsible for any external links, websites, or content that you may access or use in connection with Socrat. You may not use Socrat to post, link to, or otherwise distribute any external links, websites, or content that violate these Terms, our Privacy Policy, or any applicable laws or regulations.
Compliance with Education Laws and Regulations
Pedagogy Ventures is committed to complying with all applicable education laws and regulations, including those related to student privacy, data security, and intellectual property. Pedagogy Ventures will implement reasonable measures to protect the security and privacy of User’s data, and will ensure that any processing of User’s data is done in compliance with applicable data protection laws. Pedagogy Ventures will also implement reasonable measures to ensure that Socrat does not infringe any third-party intellectual property rights. User agrees to cooperate with Pedagogy Ventures in connection with any regulatory inquiries or investigations related to User’s use of Socrat.
AI Ethics, Bias, and Accuracy
Pedagogy Ventures is committed to developing and using AI technology in an ethical, unbiased, and accurate manner. Pedagogy Ventures will implement reasonable measures to ensure that Socrat is accurate and free from bias. Pedagogy Ventures will also ensure that any processing of User’s data by Socrat’s AI algorithms is done in compliance with applicable data protection laws. User agrees to use Socrat in a manner that is consistent with Pedagogy Ventures’ commitment to AI ethics, bias, and accuracy, and to report any concerns about the ethical, unbiased, or accurate use of AI technology to Pedagogy Ventures.
Educator Accounts
If you are an Educator, you represent and warrant that you have the authority to accept these Terms on behalf of your school or educational institution. By creating an account on Socrat, you agree to use Socrat only for educational purposes, and to comply with all applicable laws and regulations related to student privacy, data security, and intellectual property.
If you are an Educator associated with a school or educational institution, you have additional responsibilities to your students and their parents or legal guardians. Specifically, you:
(a) Must comply with our Privacy Policy, which describes how we collect, use, and disclose information in connection with Socrat.
(b) Represent and warrant that you have obtained any necessary parental consent to allow us to collect and use personal information from your students. You must also obtain any required consents under applicable laws and regulations, including the Family Educational Rights and Privacy Act (FERPA) and the Children’s Online Privacy Protection Act (COPPA).
(c) Must ensure that your classes are compliant with all applicable laws and regulations related to the disclosure of student information, and that you have acquired FERPA-compliant disclosure consents from the parents of children under 18, or from the students aged 18 and older. You must also ensure that you have proper consent before sharing any student information with third parties.
(d) Are solely responsible for any activity that occurs on Socrat using your account, including any activity by your students or any other users that you invite to participate in your classes on Socrat.
Account Creation
To create an account on Socrat, you must be at least 13 years old and have the legal capacity to accept these Terms. If you are under the age of 18, you may only use Socrat with the consent and supervision of a parent or legal guardian. You may not share your Socrat account with anyone else, or use another person’s Socrat account. You may not use Socrat under the name of another person with the intent to impersonate that person, or use a username that is subject to the rights of another person without appropriate authorization. You must be a human to use Socrat, and automated account creation or other robot activity is not allowed.
We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading, or to reclaim any account that you create through Socrat that violates these Terms. You are responsible for maintaining the confidentiality of your password and account and agree to notify us if your password is lost, stolen, or disclosed to an unauthorized third party or otherwise may have been compromised. You are responsible for any activity that occurs under your account, including any activity by your students or any other users that you invite to participate in your classes on Socrat.
We may provide notice to you of updated terms by posting them on Socrat or by emailing them to your account email address. Your use or continued use of Socrat following notice of such updated terms indicates your consent to be bound by them.
Disclaimer of Warranties
Socrat is provided “as is” and without warranty of any kind. Pedagogy Ventures does not warrant that Socrat will be uninterrupted or error-free, or that any defects in Socrat will be corrected. User’s use of Socrat is at User’s own risk.
Limitation of Liability
In no event shall Pedagogy Ventures be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with User’s use of Socrat, including but not limited to loss of profits, loss of data, or business interruption. Pedagogy Ventures’ total liability arising out of or in connection with these Terms shall not exceed the total amount of fees paid by User to Pedagogy Ventures.
Term and Termination
These Terms shall remain in effect until terminated by either party. Pedagogy Ventures may terminate these Terms and User’s access to Socrat at any time for any reason. Upon termination, User must immediately cease using Socrat and destroy all copies of Socrat in their possession.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice of law or conflict of law provision or rule. Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
General Provisions
These Terms constitute the entire agreement between User and Pedagogy Ventures and supersede all prior understandings, agreements, or representations, whether oral or written. These Terms may not be amended except in writing signed by both parties. User may not assign these Terms without Pedagogy Ventures’ prior written consent. Pedagogy Ventures may assign these Terms without User’s consent to a successor to all or substantially all of its business or assets. Any failure by either party to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
